1. Agreement and who we are
These Terms and Conditions ("Terms") are a binding agreement between LeadMarket 360 LLC, 1309 Coffeen Ave, Sheridan, WY 82801 ("LM360," "we," "us"), and you. They cover your use of leadmarket360.com, its subdomains and landing pages, and the services described below (the "Services").
LM360 operates three lines of business:
Insurance agency. LM360 is a licensed insurance agency. Our licensed agents help consumers compare and buy insurance products from the carriers we are appointed with.
Lead marketing. We collect requests from consumers who want information about insurance and other products, and we sell those requests ("leads") to businesses ("Lead Buyers").
Agency contracting. We help independent insurance agencies obtain contracts with insurance carriers.
LM360 is not an insurance company and does not underwrite or issue policies. LM360 is not a third-party administrator and does not administer benefits, process claims or bill premiums on behalf of carriers or plans.
Which sections apply to you. Sections 1, 2, 7 and 8 apply to everyone. Section 3 applies to consumers. Sections 4 and 5 apply to Lead Buyers. Section 6 applies to agencies that use our contracting services. A separate signed agreement controls if it conflicts with these Terms.
Accepting these Terms. You accept these Terms by using the Services, by clicking "Accept" or a similar button, or by buying leads or services from us. Clicking counts as your electronic signature. If you do not agree, do not use the Services.
IMPORTANT: Section 8 requires disputes between you and LM360 to be resolved by individual binding arbitration and waives class actions and jury trials. Consumers may opt out as described there.
2. Using our website
Eligibility. You must be at least 18 years old and able to enter a binding contract to use the Services.
Accurate information. Submit only true, current information about yourself. Never submit another person's information or phone number without their permission.
Prohibited conduct. You may not:
Use bots, scripts or automated tools to submit forms, scrape content or collect data from the site.
Interfere with the site's security or operation, or try to gain unauthorized access to any account or system.
Use the site for any unlawful, fraudulent or deceptive purpose.
Copy, resell or reuse site content, logos or trademarks without our written permission.
Accounts. Business customers are responsible for keeping their login confidential and for all activity under their account. Tell us right away if you suspect unauthorized use.
Privacy. Our Privacy Policy explains how we collect, use, share and sell personal information. It is part of these Terms.
Third-party sites. Links to other websites are for convenience only. We do not control and are not responsible for those sites.
3. Terms for consumers
Who may contact you. When you submit a request, you may be contacted by LM360's own licensed agents, by the Lead Buyers we sell your request to, or by both. The form you complete tells you who may contact you and how. Lead Buyers are independent businesses, and LM360 is not responsible for their conduct, products or services.
Our insurance agency. LM360 is licensed as an insurance agency in the states listed below. Our agents are licensed in the states where they sell. We represent a limited number of insurance carriers and do not offer every plan or product available in your area. You can contact your state insurance department or Healthcare.gov, where applicable, for other options.

Quotes and coverage. Quotes are estimates based on the information you provide. The insurance carrier alone decides whether to offer you coverage, at what price and on what terms. Your coverage is governed only by the policy the carrier issues. Read your policy documents carefully before you buy.
Compensation. LM360 and its agents may be paid commissions or other compensation by insurance carriers when you buy a policy through us. This does not increase your premium.
Medicare. LM360 does not market or sell Medicare Advantage or Medicare Part D prescription drug plans. Lead Buyers may not use information submitted through our sites to market or sell those plans.
Consent to be contacted. Your consent to be contacted by phone or text, including through automated technology or prerecorded voice, is described on the form where you gave it. Consent is not a condition of any purchase. You can withdraw it at any time by replying STOP to a text, asking a caller to stop, or emailing us.
No guarantee. Submitting a request does not guarantee that anyone will contact you, that you will receive a quote, or that you will qualify for any product.
4. Lead purchase terms
What a lead is. A lead is information submitted by a consumer through an online form asking for information or quotes about a product or service. Unless we agree otherwise in writing, a lead contains the consumer's name, address, email address and phone number when available, plus the answers the consumer gave on the form. We do not promise any particular volume or quality of leads.
Leads are non-exclusive. We may sell the same lead to more than one Lead Buyer. LM360's own licensed agents may also contact the same consumer.
Price and payment. You pay the price per lead shown at the time of purchase, and prices may change between purchases. Fees are due when leads are delivered. You authorize us, directly or through our payment processor, to charge your card or prefunded account balance for leads delivered plus any applicable taxes. We may require you to keep a minimum prefunded balance and may stop delivering leads if your balance is too low.
No cancellations or refunds. Lead purchases cannot be cancelled and fees are not refundable, except for the credits described below. You may not use any lead you have not paid for.
Returns for credit. You may return a lead for account credit within 10 days of delivery if:
The phone number is disconnected.
The consumer is under 18.
The lead is outside the geography or product type you ordered.
The lead duplicates a lead we already sent you for the same product within [30] days, with the same name, phone number and email address.
Return credits are applied to your account and are not paid out as cash.
5. Lead Buyer obligations
Authorized use. You may use each lead only to offer your own products or services in the category the consumer asked about (for example, health insurance). You may not use a lead to market other products, or to market for anyone else.
No resale. Leads are LM360's confidential information. You may not sell, license, share or disclose any lead, alone or as part of a list, to anyone. The only exception is a contractor you hire solely to help you use the lead as authorized, who must follow these Terms.
Data security. You must protect consumer information with reasonable physical, technical and administrative safeguards, and limit access to people who need it for the authorized use.
Your promises. For every lead you buy, you represent and warrant that:
Your use of the lead, and every call, text and email to the consumer, will comply with all applicable laws. These include the Telephone Consumer Protection Act and FCC rules, the FTC Telemarketing Sales Rule, the CAN-SPAM Act, state telemarketing and mini-TCPA laws, insurance marketing laws, and consumer protection laws against unfair or deceptive practices.
You will not call or text numbers on federal or state Do-Not-Call lists unless a valid exemption applies, and you will honor every opt-out request.
You will not use lead information to decide anyone's eligibility for insurance, credit or employment in a way that violates the Fair Credit Reporting Act.
You hold every license and appointment needed to offer and sell the products you market to the consumer.
You have told us about any government order, consent decree or investigation involving you, and you will tell us promptly about any new one.
Your employees, contractors and agents will follow these obligations.
Consent records. We make reasonable efforts to obtain each consumer's prior express written consent to be contacted, and we will give you the consent language and a record of each consent on request. You are responsible for deciding whether that consent is sufficient for how you plan to contact the consumer. We do not guarantee that every lead can lawfully be called or texted.
6. Agency contracting services
What we offer. We help licensed independent insurance agencies and their agents apply for contracts with the insurance carriers we work with. The specific carriers, products, commission levels and support we provide are set out in a separate contracting agreement between you and LM360.
Carriers decide. Each carrier decides, in its sole discretion, whether to contract with or appoint your agency or agents. We do not guarantee that any application will be approved, or that any carrier relationship or commission schedule will continue.
Your responsibilities. You must:
Hold and maintain every license required in each state where you sell, and complete any carrier training and certification.
Give complete and truthful information in every contracting application and background check.
Follow each carrier's agent agreement, marketing rules and compliance requirements, and all applicable insurance laws.
Tell us promptly about any license action, complaint, investigation or termination by a carrier.
Compensation. Commissions and any other compensation are paid according to the carrier's schedule and your contracting agreement with us. Chargebacks and commission reversals required by a carrier are your responsibility.
Ending the relationship. We or a carrier may end your contracting arrangement as permitted by your contracting agreement or the carrier's agent agreement, including for any violation of law or carrier rules.
7. Disclaimers, liability and indemnification
Disclaimer of warranties. THE WEBSITE, LEADS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." EXCEPT AS STATED IN THESE TERMS, LM360 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT CONSUMER-SUBMITTED INFORMATION IS ACCURATE OR COMPLETE, OR THAT ANY LEAD WILL RESULT IN A SALE OR ANY CONVERSION RATE.
Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW, LM360 WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITY, ARISING FROM THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY. LM360'S TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID LM360 IN THE THREE MONTHS BEFORE THE CLAIM AROSE, OR (B) $100. These limits also protect LM360's officers, employees, affiliates, contractors and suppliers. Some states do not allow certain limitations, so some of them may not apply to you.
Indemnification by business customers. If you are a Lead Buyer or an agency using our contracting services, you will defend, indemnify and hold harmless LM360 and its members, officers, employees, affiliates, successors and assigns from all claims, investigations, losses, damages, fines and costs, including reasonable attorneys' fees, arising from:
Your, or your employees', contractors' or agents', use or disclosure of leads or contact with consumers.
Your breach of these Terms or of any warranty you made, including your compliance with the TCPA and telemarketing laws.
Your insurance sales activities, licensing or conduct with carriers.
This obligation lasts for five years after each lead delivery or contracting service, and continues for any claim or investigation started within that period.
8. Termination, disputes and general terms
Termination. Either of us may end the business relationship at any time by stopping the purchase or provision of leads or services. We may suspend or end your access to the Services if you break these Terms. Sections 4 through 8 survive termination and continue to apply to every lead delivered and service provided.
Governing law. These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-law rules, and by the Federal Arbitration Act.
Arbitration. You and LM360 agree to resolve any dispute about these Terms or the Services by binding arbitration before one arbitrator, administered by the American Arbitration Association. Consumer disputes follow the AAA Consumer Arbitration Rules; business disputes follow its Commercial Arbitration Rules. The arbitration will take place where the responding party is located, or by video or phone if both agree. Either party may bring an individual claim in small claims court instead. The arbitrator's award may be entered in any court with jurisdiction. To start, send a written demand to the other party.
Class action waiver. Claims may be brought only on an individual basis, not as a plaintiff or class member in any class, collective or representative action. There is no right to a jury trial.
Consumer opt-out. Consumers may opt out of this arbitration agreement by emailing admin@leadmarket360.com within 30 days of first accepting these Terms, with the subject line "Arbitration Opt-Out" and their name, address and phone number.
General. LM360 and you are independent contractors; these Terms create no partnership, joint venture, employment or agency relationship. If any provision is unenforceable, it will be modified to the minimum extent needed and the rest remains in effect. You may not assign these Terms or any leads without our written consent. Our failure to enforce a provision is not a waiver. These Terms, the Privacy Policy and any signed agreement with LM360 are the entire agreement about their subject.
Changes. We may update these Terms by posting a new version on this page with a new "Last updated" date. Changes apply to use of the Services after posting. They do not apply to leads already delivered, or to a dispute already pending.
